1. About these terms

This website is operated by Tide Spark Inc., a Canadian federal corporation, registered office c/o LaBarge Weinstein LLP, 501-321 Water Street, Vancouver, British Columbia V6B 1B8, Canada. We trade as Merkat.

In these terms, "we", "us" and "our" mean Tide Spark Inc.; "you" means anyone using this website; and "the site" means merkatai.com and its pages.

By using the site, you accept these terms. If you do not accept them, please do not use the site.

2. This site is marketing material, not an offer

Everything on this site — descriptions of what our agents do, prices, examples, timelines — is there to explain our product. It is general information, not advice, not a binding offer, and not a promise about what we will do for you.

Nothing on the site creates a contract between us. If we work together, that happens through a separate written agreement that we both sign. If anything on this site conflicts with an agreement you have signed with us, your signed agreement wins.

We may change, correct or remove anything on the site at any time.

3. Using the site

You may read the site, print or save pages for your own reference, and share links to it.

You may not:

If you find a security problem, please tell us at hello@merkatai.com rather than exploiting it. We will not pursue anyone who reports a genuine issue to us in good faith and gives us a fair chance to fix it.

4. Asking us to call you, and telling us what you need

The site has a callback widget and a box where you can describe what you want an agent to do.

If you give us a phone number, you are telling us it is yours or that you are allowed to give it to us, and you are asking us to call you on it. If you would rather we did not, just tell us and we will stop.

Please keep what you type accurate, and please do not put confidential information, passwords, or other people's personal details into the enquiry box. What you send us through the site is not confidential unless we have signed a confidentiality agreement with you, and we may use it to prepare for our conversation and to improve how we explain our product.

5. Our intellectual property

We own the site and everything on it — the text, images, design, logos, and the Merkat name — or we use it with permission. Canadian and international intellectual property laws protect it.

Using the site does not give you any rights in our intellectual property beyond the limited permission in section 3.

If you send us ideas, feedback or suggestions about our product, we may use them freely and without owing you anything. That does not give us any rights in your business, your brand, or your own product.

6. Links to other sites

The site may link to websites we do not run. We do not control them and we are not responsible for their content, their products, or how they handle your information. Follow those links at your own discretion.

7. No warranty for the site

We provide the site "as is" and "as available".

We do not promise that the site will always be available, that it will be free of errors or interruptions, that it will be free of viruses, or that the information on it is complete or current. We may take the site down or change it without notice.

To the fullest extent the law allows, we exclude all warranties, conditions and representations about the site that are not expressly set out in these terms, whether implied by statute or otherwise.

This section is about the website. It says nothing about the Merkat product. What we commit to for the product is in the agreement a customer signs.

8. Limitation of liability

To the fullest extent the law allows:

Nothing in these terms limits liability that cannot be limited by law — including liability for fraud, for fraudulent misrepresentation, or for death or personal injury caused by negligence. Some places do not allow certain limitations, so parts of this section may not apply to you.

9. Indemnity

If your use of the site breaks these terms or the law and that causes a third party to bring a claim against us, you agree to cover the reasonable costs and damages we incur as a result.

10. Products and services are separate

If you buy Merkat, the product is governed by the customer agreement you sign with us, together with the data processing terms attached to it. Those documents — not these terms of use — set out what we deliver, what we charge, what we promise, and how we handle your business data.

11. Changes to these terms

We may update these terms as the site and our business change. The version on this page is the one that applies. We will change the effective date at the top when we update it, and continuing to use the site after that means you accept the new version.

12. Governing law and where disputes are heard

These terms are governed by the laws of the Province of British Columbia and the federal laws of Canada that apply there, without regard to conflict-of-laws rules. You and we agree that the courts of that province have jurisdiction over any dispute about the site, and each of us may still ask any court for an injunction to protect intellectual property or confidential information.

If you are a consumer in the EU, the UK, or somewhere else with mandatory local consumer protections, this section does not take away rights you have under the law where you live.

13. General

If part of these terms turns out to be unenforceable, the rest still applies. If we do not enforce something straight away, we have not given up the right to enforce it later. These terms are between you and us, and nobody else can enforce them.
